Terms of service

These terms are an agreement between Orchestrator Lab LLC ("we", "us") and the business that uses DELEA ("you"). DELEA is a product of Orchestrator Lab LLC. By using DELEA you agree to these terms.

1. The service

DELEA is software for running a jewelry shop: an online store, inventory, quotes and invoices, in-store sales, customer records, expenses and order emails. We set it up for your shop and host it for you.

2. Your account and your team

You decide who on your team has access. You are responsible for what happens under your team's logins, for keeping passwords private, and for telling us promptly if you think an account has been misused.

3. Fees

You pay a one-time setup fee and a monthly subscription, in the amounts we agree with you in writing before work starts. The subscription is billed monthly in advance. Fees don't include taxes, which you pay where they apply. If a payment is more than 14 days late, we may suspend the service after telling you by email; we restore it once the payment is made.

4. Payments to your shop

Your customers pay your shop directly through your own Stripe account, under your own agreement with Stripe. We take no share of your sales. You are the seller: you are responsible for your products, prices, sales tax, shipping, returns and refunds to your customers, and for following the laws that apply to your business.

5. Your data

Your shop's data, including your products, customers and orders, belongs to you. You allow us to store and process it only to provide DELEA to you, as described in our privacy policy. You can ask us for a copy of your data at any time.

6. Acceptable use

You agree not to use DELEA to sell anything illegal, to send unwanted messages, to infringe anyone's rights, or to interfere with the service or try to get around its security.

7. Availability and changes

We work to keep DELEA running and your data safe, but we can't promise the service will never be interrupted. We may improve or change features over time; if a change removes something you rely on, we will tell you in advance.

8. Cancellation and refunds

You can cancel your subscription at any time. Our refund and cancellation policy explains when cancellation takes effect and which fees can be refunded. After cancellation, we keep your data for 30 days so you can ask for a copy, then delete it, except for records the law requires us to keep.

9. Suspension and termination

We may suspend or end your access if you seriously or repeatedly break these terms, or if fees remain unpaid after we have told you. Where we can, we will tell you first and give you a chance to fix the problem.

10. Disclaimer and limit of liability

DELEA is provided "as is". To the extent the law allows, we are not liable for indirect or consequential losses, such as lost profits or lost sales, and our total liability to you is limited to the fees you paid us in the 12 months before the claim.

11. Changes to these terms

We may update these terms. We will email you at least 30 days before a change that affects you takes effect. If you don't agree, you can cancel before then.

12. Governing law

These terms are governed by the laws of the State of Arkansas, United States.
